End User License Agreement

This agreement governs use of Filmtone for DaVinci Resolve (the “Software”). Review it before purchasing or installing the Software.

1. License grant

One licensed user may install the Software on up to two Macs under that user's control and use it for personal or commercial video production. The license is non-exclusive and may not be transferred or sublicensed.

2. Restrictions

You may not:

• redistribute, sell, lend, or share the Software, installer, license file, or private signing material;
• share the license beyond one user and two machines;
• bypass, modify, or reverse engineer the Software or licensing mechanism, except where applicable law expressly permits it; or
• offer any part of the Software as a separate product or service.

3. Ownership

The Software and related materials remain the property of the licensor or the applicable rights holder. This agreement grants a license and does not transfer ownership of the Software.

4. Trial and license behavior

Unlicensed output contains a watermark. A valid trial or full license enables clean output for the applicable term or license scope. When a trial expires, the Software returns to watermarked trial mode.

5. Refunds

If a refund is completed, the license terminates. Delete the full license file and distributed Software, and stop using the Software.

6. Warranty and liability

The Software is provided as is. To the extent permitted by law, the licensor does not warrant fitness for a particular purpose, uninterrupted operation, or compatibility with every environment or media file. Except for liability that cannot be excluded by law, aggregate liability is limited to the amount actually paid for the relevant purchase. Nothing here limits mandatory consumer rights.

7. Termination

The license may terminate for a material uncured breach of this agreement. After termination, delete the Software and license file.

8. Governing law

This agreement is governed by the laws of Japan. Unless mandatory law requires otherwise, the Tokyo District Court has exclusive jurisdiction as the court of first instance.
